Welcome to the website of VIDify Consulting LLC ("VIDify," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website and any content, features, or information made available through it (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About Us

VIDify Consulting LLC is a limited liability company formed under the laws of the State of Delaware, United States, with a business address at 300 Creek View Rd, Ste 209, Delaware. You can contact us at info@vidifyconsulting.com.

2. Nature of the Site

The Site is provided for informational and promotional purposes only. It serves as a presentation of the services we offer, including marketing services, web development, and software development.

No products or services are sold, licensed, or otherwise made available for direct purchase through the Site. The Site does not constitute an offer to sell, a solicitation, or a binding proposal of any kind. Any descriptions, pricing references, timelines, deliverables, or service details displayed on the Site are general in nature and are not binding.

All engagements with VIDify are subject to a separate written agreement (such as a Master Services Agreement, Statement of Work, or similar contract) executed between VIDify and the client. No client, contractual, fiduciary, or advisory relationship is formed by:

• Browsing the Site;

• Submitting a contact form, inquiry, or request;

• Communicating with us by email, phone, or other means prior to the execution of a written agreement.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site. By using the Site, you represent and warrant that you meet this requirement and that you have the legal capacity to agree to these Terms.

4. Services Overview

VIDify offers the following categories of professional services:

• Marketing Services — strategy, campaigns, content, branding, and related consulting.

• Web Development — design, development, and deployment of websites.

• Software Development — design, development, and delivery of custom software solutions.

The actual scope, deliverables, fees, timelines, warranties, intellectual property assignments, and other terms governing any particular engagement are defined exclusively in the separate written agreement executed for that engagement. In the event of any conflict between the Site and a signed agreement, the signed agreement controls.

5. Portfolio, Case Studies, and Demonstrations

The Site may display case studies, client references, project examples, and demonstration projects, including but not limited to:

a. Client Work. Examples of websites, software, or marketing materials previously developed by VIDify for clients. Where third-party names, logos, trademarks, screenshots, or other brand assets appear, they are used for identification, descriptive, and portfolio purposes only, with permission from the respective owners where required. Display of a client's name or assets does not imply ongoing partnership, sponsorship, endorsement, or affiliation beyond the original engagement.

b. Live Client Websites. The Site may include links to live websites originally developed by VIDify for clients. These sites are owned, operated, and maintained by their respective owners, who may have modified the original deliverables after handoff. VIDify is not responsible for the current content, availability, functionality, accuracy, or legal compliance of any such third-party website.

c. Demonstration Projects. The Site may display websites, prototypes, mockups, or other materials created by VIDify for demonstration purposes that are not associated with any specific client ("Demos"). All intellectual property in Demos belongs to VIDify Consulting LLC. Any names, brands, business identities, content, or imagery appearing in Demos are fictional, illustrative, or used for demonstration only. Any resemblance to real persons, businesses, or organizations is coincidental and unintended. Demos are not offered for sale as-is and are not licensed for use except pursuant to a separate written agreement.

d. Trademark Acknowledgment. All third-party trademarks, service marks, trade names, and logos displayed on the Site are the property of their respective owners and are used solely for identification and descriptive purposes.

6. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, images, video, audio, designs, layouts, code samples, software, case studies, Demos, and the overall look and feel — is owned by or licensed to VIDify Consulting LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, transmit, republish, display, or create derivative works from any portion of the Site without our prior written permission, except that you may view and temporarily cache pages for personal, non-commercial use.

The VIDify Consulting name and logo are trademarks of VIDify Consulting LLC. Use of these marks without prior written consent is prohibited.

7. Acceptable Use

When using the Site, you agree not to:

• Use the Site in any way that violates applicable law or regulation;

• Attempt to gain unauthorized access to any part of the Site, our servers, or related systems;

• Reverse engineer, decompile, scrape, harvest, data-mine, or otherwise extract content or data from the Site through automated or manual means without our consent;

• Interfere with or disrupt the Site, including by introducing viruses, malware, or other harmful code;

• Use the Site, our contact form, or our communication channels to send spam, phishing messages, unsolicited commercial communications, or fraudulent content;

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIDIFY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VIDify does not warrant that:

• The Site will be uninterrupted, secure, timely, or error-free;

• Information on the Site is accurate, complete, reliable, current, or free of errors;

• Defects in the Site will be corrected;

• The Site or its servers are free of viruses or other harmful components.

Any information provided through the Site, including in blogs, articles, case studies, or other content, is for general informational purposes only and does not constitute professional, legal, financial, technical, or other advice. You should not act or refrain from acting based on Site content without seeking advice from a qualified professional.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIDIFY CONSULTING LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, EVEN IF VIDIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL VIDIFY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH A CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless VIDify Consulting LLC and its members, managers, officers, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of the Site;

• Your violation of these Terms;

• Your violation of any applicable law or the rights of any third party;

• Any content or information you submit through the Site.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the data practices described in our Privacy Policy.

14. International Use

The Site is operated from the United States. We make no representation that the Site is appropriate or available for use in any particular jurisdiction. Users who access the Site from outside the United States do so on their own initiative and are responsible for compliance with local laws. Where local law applies and conflicts with these Terms, these Terms apply to the extent permitted by such local law.

15. Governing Law

These Terms and any dispute arising out of or relating to them or the Site shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Dispute Resolution and Arbitration

a. Informal Resolution. Before initiating any formal proceeding, you agree to first contact us at info@vidifyconsulting.com and attempt to resolve the dispute informally for a period of at least sixty (60) days.

b. Binding Arbitration. If the dispute is not resolved informally, any controversy, claim, or dispute arising out of or relating to these Terms or the Site shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

c. Class Action Waiver. You and VIDify agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

d. Exceptions. Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or to enforce confidentiality obligations.

17. Termination

We reserve the right, in our sole discretion, to suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination shall survive, including without limitation sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

18. Changes to These Terms

We may modify these Terms at any time by posting the updated version on the Site and updating the "Last Updated" date above. Your continued use of the Site after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

19. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from the remaining provisions, which shall remain in full force and effect.

20. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of VIDify.

21. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and VIDify regarding your use of the Site and supersede any prior agreements or communications regarding such use. These Terms do not supersede any separate written agreement governing professional services between VIDify and a client.
